Member Institution Protocol (Trial)

Chapter IGeneral provisions

Article I This protocol is formulated to promote the development of the technologyexchange market, create a favorable environment for and standardize thebehaviors in technology exchange, and ensure orderly cooperation among themember institutions of ITEC.

Article II This protocol is applicable to institutions that are qualified to be amember institution of ITEC and, upon voluntary application, equal negotiationand approval by ITEC, conduct technology exchanges and provide services for thetransformation of scientific and technological achievements as the memberinstitution of ITEC (hereinafter referred to as the “institution”).    

Article III The member institutions referred to herein can be divided into thefollowing eight categories:

 (i)International technology transfer industry organizations: professionalorganizations engaging in international technology transfer at home and abroad,such as the Association of University Technology Managers (AUTM),PraxisAuril, Australian KnowledgeCommercialization Association (KCA), Association of European Scienceand Technology Transfer Professionals (ASTP) and South AfricaResearch and Innovation Management Association (SARIMA); 

(ii) Non-governmental organizations (NGOs) andnon-profit organizations (NPOs) regarding certain professions, disciplines andindustries, such as Germany Fraunhofer Association and AmericanSociety of Mechanical Engineers; 

(iii) Technologytransfer offices in institutions of higher learning: internalorganizations in institutions of higher learning that are responsible forintellectual property management, technology licensing or technologyauthorization, such as the technology transfer office in Stanford Universityand the technology licensing office in Massachusetts Institute ofTechnology;    

(iv) Technology transfer offices in scientificresearch institutions: institutions organically engaging in R&D activitiesfor a long time, such as Chinese Academy of Engineering, WeizmannInstitute of Science (Machon Weizmann LeMada) and Francis CrickInstitute;    

(v) Research-oriented hospital industrializationinstitutions, such as Texas Medical Center (TMC) and MassachusettsGeneral Hospital; 

(vi) R&D and technology transfer departments in High-techenterprises, such as Microsoft Research and Aliresearch; 

(vii) Government platform institutions: internationaltechnology exchange platforms and official institutions established by thegovernment, such as Innovate UK, Israel Innovation and GermanyTrade & Invest;

(viii) Third-party institutions providing auction,bidding (review), price bidding, assessment, audit, legal consultation,financial consultation, management consultation, intellectual propertyevaluation, intermediary agency, deal making, financing docking and otherprofessional services regarding international technology exchange. 

Article IV The member institutions referred to herein include the followingindividuals who have applied to and are deemed eligible to join ITEC:  

(i) Professionals in the aforesaid memberinstitutions who apply to join ITEC personally;

(ii) Experts in key cutting-edge technology fieldsat home and abroad;  

(iii) Innovators and entrepreneurs in technologicalinnovation-based enterprises. 

Article V The member institutions shall adhere to international rules, nationallaws, regulations and policies and relevant protocols of ITEC and, followingthe purpose of promoting the integration of technology and capital andachieving the industrialization of scientific and technological achievementsand the principle of equality, mutual benefits, honesty and credibility,jointly promote the development of the technology exchange market.    

Chapter IIAcquisition of ITEC membership

Article VI Any institution who applies to be a memberinstitution of ITEC shall comply with the following conditions: 

(i)Be established according to law;

(ii)Possess relevant business qualifications and necessary qualified practitioners;

(iii)Boast great business reputation without any violation of laws or regulations inthe past three years; 

(iv)Comply with other conditions specified.  

Article VII Any institution who is found with any of thefollowing situations shall not apply to be a member institution of ITEC:

(i)Subject to administrative punishment by any national competent authority orarbitration award by any international arbitration institution for maliciousinfringement of intellectual property rights or unfair competition;

(ii)Other situations that prevent the institution from joining ITEC.  

Article VIII The following materials are necessary for theapplication for ITEC membership:  

(i)Application Form for Member Institutions of ITECor Application Form for Individual Members of ITEC; 

 (ii) Copies of business license/registrationdocuments, copies of organization code certificate and tax registrationcertificate and other materials that can prove the principal qualifications ofmember institutions;  

(iii)Identity certificates of legal representatives/institution heads/individual applicants; 

(iv)Qualifications certificates regarding relevant industries;

(v)Other relevant materials. 

Institutionapplicants shall ensure that the qualification certificates and other certification materials they provide are complete, authentic,legal and valid. 

Article IX ITEC shall complete qualification review and notify institutionapplicants of review results within seven working days upon receipt of theirapplication.  

Article X The institution applicants will be qualified to be the memberinstitutions of ITEC immediately after passing the review by ITEC.  

Chapter IIIRights and obligations of member institutions

Article XI The member institutions of ITEC have the following rights: 

(i)Carry out relevant businesses and the publicity thereof in accordance with thebusiness systems of ITEC, participate in the construction of ITEC informationservice platform and, by virtue of the platform, browse, search, retrieve andrelease technology exchange information, conduct technology exchanges orprovide technology exchange services;   

(ii)Preferentially participate in the businesses of ITEC and enjoy the value-addedservices provided by ITEC and other member institutions with specificpreferential rates being separately agreed, provided that the conditions forthem are the same with those for others. 

(iii)Jointly promote the strategic research work carried out by ITEC, accelerate theformation of international consensus on technology exchange services, and formreasonable cooperation modes and promotion schemes;   

(iv)Participate in relevant business training and exchange activities provided byITEC for member institutions, and jointly promote the holding or preferentiallyparticipate in ITEC activities.  

(v)Promote the sharing of project resources among the member institutions of ITEC,advance international exchanges and cooperation in key cutting-edge technologyfields, and formulate work plans; 

(vi)Participate in the construction of ITEC, and enjoy other services provided byITEC for member institutions. 

Article XII The member institutions of ITEC shall performthe following obligations:

(i)Adhere to relevant international conventions, laws and regulations as well asthe business rules of ITEC; 

(ii)Provide professional services in a honest and diligent way; 

(iii)Safeguard the legal interests of all relevant parties involved in technologyexchanges according to law;

(iv)Ensure that the information and other materials and certification documentsthey provide are complete, authentic, legal and valid without infringing theintellectual property rights or other rights of others, as required by ITEC.

(v)Allow ITEC to release relevant information such as the profilesand promotional materials of member institutions;

(vi)Establish and sort out relevant business files for recordation in ITEC, andtimely update the information about member institutions;

(vii)Submit a written application and obtain the written consent or authorization ofITEC in advance before carrying out any foreign technology exchange or anyother activity in the name of ITEC. 

Chapter IV Annual appraisal on member institutions

Article XIII The member institutionsof ITEC are subject to annual appraisal covering the following contents:

(i) Compliance with relevant laws and regulations as well as rules andrelevant management protocols of ITEC;

(ii) Behaviors in violation of the principle of good faith orconstituting unfair competition; 

(iii) Behaviors damaging the reputation of ITEC or the common interestsof member institutions;

(iv) Other matters to be assessed in response to the requirement ofmember institutions. 

The annual appraisal on member institutions is typically held during theperiod from December 1 to December 31 annually. 

Article XIV thefollowing materials shall be submitted for the annual appraisal on memberinstitutions:

(i) Registration form for annual appraisal on member institutions;

(ii) Printing copies of annual credit reports within a prescribed period(if any);

(iii) Certificate of annual inspection issued by the competent authorityin the industry;

(iv) Other relevant materials.   

Article XV ITEC shall appraisethe aforesaid documentary materials in writing, and disclose appraisal resultsinternally.  

Article XVI For memberinstitutions passing the annual appraisal, ITEC will sign passing opinions andmaintain their membership, while for those failing to pass or refusing toparticipate in the annual appraisal, ITEC will terminate their membership.       

Article XVII ITEC willpublish the results of such annual appraisal in due course.  

Chapter V Termination of the membership of member institutions

Article XVIII The membership of member institutions beingfound with any of the following situations will be terminated immediately: 

(i)Fail to pass the annual appraisal; 

(ii)Provide false, concealed or incomplete materials or documents;

(iii)Violate the exchange rules of ITEC and consequently cause serious losses toITEC or other member institutions. 

Article XIX Where a member institution takes the initiativeto apply for termination of its membership, the following procedures shall befollowed:

(i)The member institution submits to ITEC the application form for termination ofmembership and other materials as required by ITEC;

(ii)ITEC handles relevant procedures and makes corresponding announcement within 15working days upon receipt of the aforesaid application materials.   

Article XX For member institutions no longer satisfying the conditions specified byITEC regarding the membership of member institutions, ITEC shall have the rightto unilaterally terminate their membership and announce the same for a periodof 15 days.  

Chapter VI Supplementaryprovisions

Article XXI Should any of the following situations occur ina member institution, the member institution shallreport to ITEC within 10 working days upon the occurrence thereof:

 (i) Legal representative/institution head,address, registered capital, business scope or contributorcomposition of the member institution has changed;

(ii)The person (s) chiefly in charge of the institution’s businesses has/havechanged;  

(iii)Any administrative punishment or lawsuit (arbitration) is involved in thehandling of any business of the institution;

(iv)Other matters that are supposed to be reported to ITEC.

Article XXII ITEC is mainly deigned to certify and evaluateits member institutions and provide them with such services as technologyinformation platform, business exchanges and management training. The bothparties shall join hands in carrying out technology exchange business withoutany relationship of affiliation therebetween, and the member institutions shallbe solely responsible for their business activities. 

Article XXIII This protocol will be implemented as of April20, 2020. 

Article XXIV ITEC reserves the right to interpret and amendthis protocol.
